Blinkko Labs, Inc. ("Blinkko," "we," "our," or "us") is a company incorporated under the laws of the State of Delaware, United States. We make consumer hardware and software that helps people discover and connect with others nearby.

You must be at least 13 years old to use the Services. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Services, you represent and warrant that you meet these eligibility requirements.

The Services are intended for personal, non-commercial use only. You may not use the Services if you are prohibited from doing so under applicable law.

Certain features of the Services require you to create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at info@blinkko.co if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for an extended period.

All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to refuse or cancel any order at our discretion, including orders that appear fraudulent or that exceed purchase limits.

Payment is due at the time of purchase. We accept major credit cards and other payment methods shown at checkout. You authorize us to charge your selected payment method for the total amount of your order, including applicable taxes and shipping fees.

Estimated shipping times are not guaranteed. Blinkko is not responsible for delays caused by carriers, customs, or circumstances beyond our control. Risk of loss and title for products pass to you upon delivery to the carrier.

Returns. You may return an unopened Blinkko device within 30 days of delivery for a full refund of the purchase price (excluding shipping). To initiate a return, contact us at info@blinkko.co. Returned items must be in original condition and packaging.

Limited Warranty. Blinkko warrants that its hardware products will be free from defects in materials and workmanship under normal use for a period of one (1) year from the date of original retail purchase ("Warranty Period"). This warranty does not cover damage caused by accident, misuse, unauthorized modification, or normal wear and tear.

Your sole remedy under this warranty is, at Blinkko's option, repair or replacement of the defective product. This warranty gives you specific legal rights, and you may also have other rights that vary by state.

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. BLINKKO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You agree not to use the Services to:

• Violate any applicable law or regulation
• Harass, stalk, threaten, or harm any other person
• Transmit any content that is unlawful, defamatory, obscene, or invasive of another's privacy
• Attempt to reverse-engineer, disassemble, or tamper with the hardware or software
• Interfere with or disrupt the integrity or performance of the Services
• Collect or harvest any personal information about other users without their consent
• Use the Services for any commercial purpose without our prior written consent
• Circumvent any security or authentication measures

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision.

All content, software, designs, trademarks, logos, and other materials associated with the Services are owned by or licensed to Blinkko and are protected by U.S. and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Blinkko content without our prior written permission.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Blinkko app solely for your personal, non-commercial use.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

The Blinkko device uses short-range wireless signals to detect other nearby Blinkko devices. No personal identifying information is shared with other users without your explicit consent. Please review our Privacy Policy for full details on how we collect, use, and protect your data.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BLINKKO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL BLINKKO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BLINKKO IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Blinkko and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Services, (b) your violation of these Terms, or (c) your violation of any third-party rights.

Informal Resolution. Before filing any formal legal action, you agree to contact us at info@blinkko.co and give us 30 days to attempt to resolve the dispute informally.

Binding Arbitration. If we cannot resolve the dispute informally, you and Blinkko agree to resolve any claim, dispute, or controversy (excluding claims for injunctive or other equitable relief) arising out of or in connection with these Terms through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

Class Action Waiver. YOU AND BLINKKO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. If the changes are material, we will notify you by email or through a notice in the app. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Blinkko regarding the Services and supersede all prior agreements.

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
